Terms of Service

These Terms of Service (the "Terms") are a binding agreement between FullySys Global Tec. LLC, a Florida limited liability company ("Vordrix", "we", "us", or "our"), and the individual or entity accessing or using the Vordrix platform, websites, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. When you register, you agree to:

• Provide accurate, current, and complete information.
• Keep your account credentials confidential.
• Notify us promptly of any unauthorized access or security incident.
• Be responsible for all activity that occurs under your account.

2. Description of the Service

Vordrix provides a multi-tenant software-as-a-service platform for customer service, support workflows, customer relationship management, and related artificial intelligence features. The specific features available to you depend on your subscription plan and the modules you have enabled. We may update, modify, or add features at any time.

3. Subscription, Fees, and Payment

• Paid plans are billed in advance on a recurring basis (monthly or annually) according to the plan you select.
• All fees are stated in U.S. Dollars and are non-refundable except as required by law or expressly stated in these Terms.
• Payment is processed by our third-party payment provider (Stripe). You are responsible for all applicable taxes.
• If a payment fails or is overdue, we may suspend or terminate your access to the Service.
• We may change our fees on prospective renewal terms with reasonable advance notice.

4. Customer Data and Ownership

"Customer Data" means all data, content, and information that you or your end users submit to, generate in, or process through the Service, including contacts, messages, tickets, attachments, and CRM records.

• You retain all rights, title, and interest in and to your Customer Data.
• You grant Vordrix a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service for you.
• You represent and warrant that you have all rights and consents necessary to submit Customer Data to the Service and that the Service's processing of it will not violate any law or third-party right.
• Customer Data is logically isolated per tenant and handled in accordance with our Privacy Policy.

5. Acceptable Use

You agree not to:

• Use the Service to send spam, unsolicited commercial messages, or content that violates applicable law (including CAN-SPAM, TCPA, or the policies of any connected messaging channel).
• Upload malware, viruses, or any code intended to disrupt the Service or other users.
• Attempt to gain unauthorized access to the Service, reverse-engineer it, or circumvent usage limits or security mechanisms.
• Use the Service to harass, defraud, discriminate against, or harm any person.
• Use the Service to process data of children under 13 or other categories prohibited by our Privacy Policy.
• Resell, sublicense, or make the Service available to any third party outside your organization without our written consent.

We may suspend or terminate accounts that violate this section, with or without notice.

6. Third-Party Integrations

The Service may allow you to connect third-party services (such as Meta platforms, email providers, payment processors, and analytics tools). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and we may modify or discontinue any integration at any time.

7. AI Features

The Service includes features powered by artificial intelligence. AI outputs are generated based on the inputs we receive and may be inaccurate, incomplete, or unsuitable for your particular situation. You are responsible for reviewing AI outputs before relying on them, sending them to end users, or using them for decisions that have legal or material effects. Tenant-specific AI agents are trained using only the Customer Data of the tenant that owns them and are not used to train third-party foundation models.

8. Intellectual Property

Vordrix and its licensors retain all rights, title, and interest in and to the Service, including all software, designs, trademarks, and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription. All rights not expressly granted are reserved.

9. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

10. Confidentiality

Each party agrees to protect the confidential information of the other with the same degree of care it uses to protect its own, and to use it only for the purposes of these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without confidentiality obligations.

11. Warranties and Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements or that any AI outputs will be accurate or reliable.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall Vordrix be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.

Our total aggregate liability under these Terms shall not exceed the amounts paid by you to Vordrix for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Vordrix, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

14. Term, Suspension, and Termination

• These Terms remain in effect while you use the Service.
• You may cancel your subscription at any time through your account settings or by contacting us.
• We may suspend or terminate your access if you breach these Terms, present a security or legal risk, or fail to pay amounts owed.
• Upon termination, your right to use the Service ends immediately. You may export your Customer Data for a reasonable period before it is deleted from our systems, subject to applicable backup rotation.
• Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) shall survive.

15. Changes to the Service and Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will provide reasonable advance notice (for example, by email or through the Service). Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Florida for any dispute arising out of or relating to these Terms or the Service, and waive any objection to venue in those courts.

17. General Provisions

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vordrix and supersede all prior agreements on the same subject.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
